NOTICE OF PUBLIC HEARING

CONCERNING THE ISSUANCE OF BONDS BY THE

PUBLIC FINANCE AUTHORITY

AND A PLAN OF FINANCE FOR

KINGSPATH SENIOR MINISTRIES INC.

 

NOTICE IS HEREBY GIVEN that the Minnesota Health and Education Facilities Authority (the “Authority”), will conduct a public hearing at 2:00 p.m. on Wednesday, April 22, 2026, in the lower level Conference Room of the Authority’s offices at 860 Blue Gentian Road, Suite 145, Eagan, Minnesota, at which time any person may be heard regarding the proposed plan of financing for the Bonds and the Project described below.

 

The Authority will consider the approval, for purposes of Section 147(f) of the Internal Revenue Code of 1986, of the issuance of certain revenue bonds, in an aggregate principal amount not to exceed $165,000,000 (the “Bonds”), pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, by the Public Finance Authority (“PFA”), a commission organized under and pursuant to the provisions of Sections 66.0301, 66.0303 and 66.0304 of the Wisconsin Statutes, as amended.  The Bonds may be issued in one or more series as either tax-exempt or taxable obligations. The Bonds will be special limited obligations of PFA payable solely from the loan payments to be made by KingsPath Senior Ministries Inc., a Minnesota nonprofit corporation, or a to-be-formed affiliate thereof (the “Borrower”), to PFA, and certain funds and accounts established by a trust indenture and loan agreement related to the Bonds.

Proceeds of the Bonds will be used by the Borrower for a plan of finance and refinance comprised of the following purposes: (a) acquisition of facilities which provide assisted living services for seniors in Minnesota, Ohio and Pennsylvania, including but not limited to the assisted living facilities located at 19351 Indiana Avenue, Lakeville, Minnesota 55044 and 111 and 113 East Avenue, Mahtomedi, Minnesota 55115; and (b) paying the costs of issuance of the Bonds (collectively, the “Project”).

This notice is intended to comply with the public notice requirements of Section 147(f) of the Internal Revenue Code of 1986. All interested parties are invited to attend and present comments at the public hearing regarding the plan of finance, the issuance of the Bonds and the Project. Members of the public may also attend by telephone or other electronic means in accordance with Minnesota Statutes, Section 13D.015.
