Continuing Disclosure
S.E.C. Rule 15c2-12 requires continuing public disclosure of certain financial obligations through the EMMA website. The Minnesota Higher Education Facilities Authority is committed to assisting the educational institutions we serve with this annual requirement; however, college and university staff should be aware of the process and requirements. It is ultimately the institution’s responsibility to ensure the requirements have been met.
Please be aware that every Continuing Disclosure Certificate or Undertaking is independent from other bond documents. The rules for compliance are complex and subject to change by SEC or MSRB pronouncements. These may change the filing requirements from your original filing requirements. Please contact us as soon as practicable after your fiscal year end to determine the timing and documentation required to be filed for your continuing disclosure obligation.
